Technology Transfer Agreements–A Know–How on Contractual Gradations

Abstract :

Technology Transfer involves the flow of applicable knowledge, skill, capability, expertise, equipment for the manufacture, management, processing or production of a device, product, system or services from one location, sector or activity to another, within a specific time frame. Technology Transfer encompasses commercial, marketing & legal aspects which also includes Intellectual Property. Technology Transfer contract deals with the terms & conditions that governs the contract, the use & mode of transfer. This would have an impact of the confidentiality & secrecy aspects of the contract. Mode of transfer can be through training, documents, software programs or even through the sale of machinery or apparatus that exemplify the technology. This Article attempts in studying the facets of certain commercial and legal aspects that may be considered in a contract for technology transfer.
